協力覚書（参考和訳）
NGO市長クラブ（以下 クラブという）― 会長：ヴォロディミール・ウドビチェンコ、関係法規に基づき活動 ― と
NPO 日本PFI・PPP協会（以下 協会という）― 会長：植田 和男、定款に基づき活動 ― は、
両者を総称して 以下「当事者」と呼ぶが、
ウクライナの復興と開発にとって有益な状況を構築するための努力を重ねることを目的に、
次のような内容の覚書（以下 本覚書という）を締結する。
1. 協力の具体的な方法
ウクライナの地方自治体の復興と開発に重要なひとつの要素として、協力を促進する必要性を認識し、当事者は次のような事項を実施する。
― 地方自治体の復興と開発に必要な製品、技術およびプロジェクの情報（以下 自治体情報という）をクラブは収集し、協会に提供する。自治体情報は必要に応じ更新される。
― 協会は自治体情報を日本企業に提供し、興味を示した企業をクラブに紹介する。
― 協会は自治体情報を日本の政府および地方自治体にも提供し、支援の意向を示した行政機関をクラブに紹介する。
― 日本を含む外国からの民間投資をウクライナに呼込むため、日本のPPP制度や仕組み、PPPプロジェクト成功事例を協会はクラブに紹介する。
― 上記以外の事項が必要になった場合、当事者が合意して、追加する。
MEMORANDUM OF COOPERATION
Non-governmental organization "Mayors` Club", (hereinafter - the Club), represented by President Vladimir Udovychenko, acting on the basis of the Statute, and
Non Profit Organization Japan PFI/PPP Association (hereinafter - the Association), represented by President Kazuo Ueda, acting on the basis of the charter of incorporation,
hereinafter collectively referred to as the Parties,
in pursuit of consolidation of efforts on providing favorable conditions for the restoration and development of Ukraine;
The Parties entered into this Memorandum as follows:
І. TANGIBLE WAY OF COOPERATION
Being aware of the need to improve cooperation as an important factor for the restoration and development of local governments in Ukraine, the Parties implement the following efforts:
- The Club collects information on products, technologies, and projects necessary to restore and develop local governments (hereinafter - the Information), and provides the Association with the Information, updated as appropriate;
- The Association provides Japanese enterprises with the Information and introduce a company, showing interest in the Information, to the Club;
- The Association also provides central and local governments in Japan with the Information and introduces a government, expressing a support to the Information, to the Club;
- To draw private investments for Ukraine from abroad including Japan, the Association introduces to the Club some successful PPP projects in Japan as well as the PPP methodology in Japan;
- Any other efforts necessary are agreed by the Parties and added.
2. 実施
本覚書を実施するため、Eメール、書面、オンライン打合せ、対面打合せ、会議、或いはその他適切な意思疎通手段により、当事者は情報交換、議論を行う。
自治体情報の提供、及びすべての意思疎通手段で用いる言語は、原則として英語とする。
3. 最終規定
本覚書は法的拘束力を有さず、当事者はいかなる法的あるいは経済的な義務、責任も負わない。
本覚書は当事者の調印日から２年間有効であり、書面により当事者が同意したとき、本覚書の修正と期間延長の両方またはいずれか一方が可能である。
本覚書は当事者の合意で終了する。
当事者の一方が本覚書終了の意思を書面で通知し、他方がその書面を受理した日から起算して30日後、本覚書は終了する。
本覚書の解釈に関するいかなる異議も当事者の協議で解決しなければならない。
本覚書の本書をウクライナ語と英語の併記で2通作成し、当事者双方が各1通保有する。
本覚書の調印日は2024年5月15日。
※クラブの調印日が2024年5月15日、協会の調印日は2024年5月29日であるが、発効日は5月15日とする。
ІІ. IMPLEMENTATION
To implement this Memorandum, the Parties have discussions as well as exchange information, through e-mail, in writing, online meeting, in-person meeting, conference or any other communication tools as appropriate.
Language for every communication as well as delivery of the Information is English in principle.
ІІІ. FINAL PROVISIONS
This Memorandum is not legally binding document and shall not create any legal or financial obligations on the Parties.
This Memorandum is effective for two years from the date of its signature by the Parties and may be modified and/or its duration may be extended as decided by the Parties in writing.
This Memorandum shall terminate under mutual consent of the Parties.
One of the Parties may terminate this Memorandum thirty days after its written notice on termination is received by the other of the Parties.
Any dispute about interpretation of this Memorandum shall be settled by consultations between the Parties.
This Memorandum is written in both Ukrainian and English and each of the Parties has one of two original documents of this Memorandum.
This Memorandum is signed on May 15, 2024.
